Welcome to Wingman Money! 

These Terms of Service govern your access to and use of our App, Website, and any associated features, services, or beta programs (collectively, the “Service”).

The Service is owned and operated by Wingman Money Pty Ltd ACN 680 671 336 (“Wingman”, “we”, “our”, or “us”).

  1. Acceptance
    1. By clicking “Get Started”, you acknowledge that you have read and understood the Terms of Service and that you agree to be bound by the Terms of Service (and any updated Terms of Service as referred to in clause 32). 
    2. If you do not agree to any part of the Terms of Service, you must immediately cease accessing and/or using the Service being provided under these Terms of Service.
    3. You also acknowledge and consent to Wingman having access to hold, disclose and use your personal information as set out in the Privacy Policy.
  2. Definitions
    1. In these Terms of Service unless the contrary intention appears:
      1. The singular includes the plural and vice versa.
      2. A reference to a party includes that party’s legal personal representative heirs and assigns.
      3. “App” means the mobile application owned and operated by Wingman.
      4. “Commencement Date” means the date you sign up with Wingman and pay the first instalment of the Fee.
      5. “Confidential Information" means any information which is the property of a Party or any related corporation or entity, including (but not limited to), these Terms of Service, technical data, trade secrets, know how, research data, product plans, products, services, customer lists and customer information (including, but not limited to, users or potential users of a Party’s products or services), market information, software and software objects and source codes, developments, inventions, processes, formulae, technology, designs, drawings, engineering, hardware configuration information, finances or other business information disclosed to a Party by the other Party or any related corporation or person either directly or indirectly in writing, orally, electronically or by drawings or inspection of parts or equipment.
      6. “Email” means hello@wingmanmoney.com  
      7. “Fee” means the weekly or annual fee prescribed by your Licence Type in accordance with clause 9 and updated from time to time.
      8. “Further Term” means the further period of time during which you are a Member in accordance with clause 10. 
      9. “Intellectual Property Rights” means all present and future rights conferred by statute, common law or equity in or in relation to any copyright, trademarks, service marks, designs, patents, business and domain names, database rights, confidential information, know how, inventions and other results of intellectual activity existing anywhere in the world, whether or not registered or capable of registration, and any goodwill associated with the activity and any applications, renewals and extensions of the rights.
      10. “Licence” means the process whereby you create an account on the App and pay the Fee and thereby become a Member of Wingman.
      11. “Licence Type” means the type of licence provided by Wingman as described in clause 9 and selected by the Member.    
      12. “Moral Rights” means the personal rights contained in the Copyright Act 1968 (Cth).
      13. “Party” means each Party to this Agreement and “Parties” means those Parties collectively.
      14. “Pay Provider” means Stripe or other debiting agent nominated by Wingman from time to time.
      15. “Phone” means +61 415 549 876.
      16. “Privacy Policy” means the privacy policy as provided by Wingman to you on request from time to time and available on the Website and App.
      17. “Service” means the App, Website, and any associated features, services, or beta programs provided by Wingman.
      18. “Term” means the period of time during which you are a Member of Wingman in accordance with clause 10.
      19. “Terms of Service” means these terms and conditions.
      20. “Third Party Providers” means:
        1. Basiq Pty Ltd, of PO Box Q279, Queen Victoria Building NSW 1230  or other open banking platform nominated by Wingman from time to time;
        2. Equifax Pty Ltd, of GPO Box 964, North Sydney NSW 2059 or other credit reporting agent nominated by Wingman from time to time; 
        3. Persona Identities, Inc, of 981 Mission Street, #95, San Francisco, CA 94103, United States, or other identify verification agent nominated by Wingman from time to time; and/or
        4. any other party that Wingman considers is necessary or desirable to assist in the provision of the Service.
      21. “Website” means wingmanmoney.com or such other website as notified to Members from time to time.
      22. “Wingman”, “we”, “our”, or “us” means Wingman Money Pty Ltd ACN 680 671 336, of 502/24 Norman Crescent QLD 4170.
      23. “You” or “Member” refers to the name in which the Wingman account has been created.
  3. Interpretation
    1. Unless expressed to the contrary:
      1. words importing the singular include the plural and vice versa;
      2. if a word or phrase is defined, cognate words and phrases have corresponding definitions;
      3. a reference to:
        1. a person includes a firm, unincorporated association, corporation and a government or statutory body or authority;
        2. a statute, ordinance, code or other law includes regulations and other statutory instruments under it and consolidations, amendments, re-enactments and replacements of any of them;
        3. a right includes a benefit, remedy, discretion, authority or power;
        4. time is to local time in Queensland, Australia;
        5. any thing (including, without limitation, any amount) is a reference to the whole or any part of it and a reference to a group of things or persons is a reference to any one or more of them;
        6. all Parties, clauses or schedules is a reference to the Parties, clauses or schedules of or to this Agreement;
      4. a consent or notice is to be in writing unless otherwise stated; and
      5. in calculating time under this Agreement, the term "day" means calendar day.  If any period of time expires on a Saturday, Sunday or gazetted holiday for the City of Brisbane, Queensland, Australia then the period will be taken to expire on the next Business Day save to the extent a fee payable in accordance with clause 11 is payable on a calendar day (not a Business Day).  The term "year" means a calendar year of 365 or 366 days as the case may be.
  4. Headings
    1. Headings do not affect the interpretation of these Terms of Service.
  5. About Wingman
    1. Wingman is a financial wellness platform designed to help users better understand and manage their financial behaviour. We use data you provide — including bank transaction data retrieved through Open Banking — to generate financial insights and coaching features.
    2. In accordance with clause 16, we do not offer personal financial advice or product recommendations. Wingman is an information tool only.
  6. Grant of Licence
    1. In consideration of payment of the Fee, Wingman hereby grants a non-exclusive licence to the Member to use the Service for non-commercial, personal use for the Term and on the terms and conditions contained in these Terms of Service (“Licence”).
    2. The rights granted under the Licence are prescribed by your Licence Type in accordance with clause 9.
    3. The Member hereby accepts the Licence.
  7. Eligibility
    1. To be eligible to create and maintain an account with Wingman and to be granted a Licence, you must:
      1. be at least 18 years old, or at least 16 years old and agree that you will be bound by these Terms when you turn 18.
      2. be legally able to enter into a binding agreement;
      3. only use one account for individual, non-commercial, personal use and not use the account of any other person;
      4. provide Wingman with any information or documents which may be reasonably requested from time to time and promptly notify Wingman of any changes to their contact details or any other information provided to Wingman; and
      5. agree to these Terms of Service and our Privacy Policy.
    2. We may suspend or terminate your Licence if we believe you do not meet these requirements
  8. Registration & Account Security
    1. To use the Service, you’ll need to create an account using your email and password. You are responsible for:
      1. keeping your login credentials secure;
      2. all activity under your account; and
      3. notifying us if you suspect unauthorised access.
    2. We may revoke your Licence without notice if we suspect misuse.
  9. Licence Type : Wingman offers the following Licence Types:

  10. Term and Renewal
    1. The Licence will commence on the Commencement Date and, unless otherwise terminated in accordance with clause 20, continue in force for the Term.  Upon expiration of the Term (or the Further Term), these Terms of Service will automatically renew for the Further Term, unless you provide written notice of termination in accordance with clause 10.3 and 20 below.
    2. The Term shall commence on the Commencement Date.
    3. In accordance with clause 20, you may terminate the Licence at any time by providing not less than 4 weeks’ written notice to Wingman. If notice is not given before the expiration of the Term or any Further Term, the Licence will renew for a Further Term, subject to the ongoing right to terminate under these Terms of Service.
  11. Fees
    1. You agree and acknowledge that:
      1. you will pay to Wingman the Fee;
      2. the Fee will be deducted from your credit card or bank account by the Pay Provider, on a monthly or annual basis as nominated by you;
      3. the Fee may increase from time to time, notice of which will be given thirty (30) days before any increase takes effect.  By continuing to use your Licence after an increase in the Fee, you accept the increase in the Fee;
      4. should there be any arrears in payments, your Licence will be suspended until payment of the arrears is made.  Wingman reserves the right to implement recouperation methods available to it for any unpaid Fees.
    2. The Fees set out in clause 9 may be updated from time to time, as advertised on the Website.
  12. CDR & Open Banking Access via Basiq
    1. Wingman uses Basiq Pty Ltd (Basiq) to retrieve your financial data from your financial institutions. 
    2. Basiq is an Accredited Data Recipient under Australia’s Consumer Data Right (CDR).  The CDR allows consumers to safely share the data that banks and businesses hold about them and is strictly regulated by the Australian Government.  All Australian banks are required to participate in the CDR.
    3. As an Accredited Data Recipient, Basiq must comply with the rules, standards and privacy safeguards under the Competition and Consumer (Consumer Data Right) Rules 2020, including:
      1. taking steps to secure their network and systems within the CDR data environment;
      2. taking steps to limit, prevent, detect and remove malware in regard to their CDR environment; and,
      3. implementing processes to limit the risk of inappropriate or unauthorised access to its CDR data environment.
    4. You can view Basiq’s CDR policy here.
    5. When you create an account with us:
      1. you have the option to provide your consent for Basiq to securely access your bank account data under the Consumer Data Right;
      2. if you provide your consent, your financial institution will verify your identity and ask you to confirm which bank account data you would like to share with Basiq;  
      3. upon confirming your selected bank account data is shared with Basiq using secure automated technology;
      4. we then receive your processed data from Basiq for use within Wingman.
    6. You can withdraw your consent for Basiq to access your bank account data at any time via the app or by contacting us.  However, please note that if you withdraw consent, you may not be able to use the full functionality of the website or app.
  13. Beta Features
    1. Wingman may release early versions of new tools, dashboards, or functionality (collectively “Beta Features”). These may:
      1. be limited in performance, scope, or support;
      2. be updated or discontinued without notice; and
      3. contain bugs or inaccuracies.
    2. By using Beta Features, you understand they are experimental and provided “as is” with no guarantees, in accordance with clause 16. We appreciate your feedback and may use it to improve the Service.
  14. General Responsibilities of the Parties
    1. You will:
      1. pay all moneys, Fees or levies owing to Wingman as and when due pursuant to these Terms of Service; and
      2. comply with applicable laws, regulations, guidelines, and these Terms of Service throughout the Term (or Further Term).
    2. You will not:
      1. use the Service for any purpose other than personal, non-commercial use;
      2. use the Service in violation of any laws;
      3. use the Service to distribute spam, malware or unlawful content;
      4. use the Service in a way that brings Wingman into disrepute;
      5. interfere with or disrupt our infrastructure or Service;
      6. remove any trade mark, copyright or other proprietary notices from any portion of the Service;
      7. copy, modify, reproduce, prepare derivative works based upon, distribute, licence, lease, sell, resell, transfer, publicly display, publicly perform, transmit, stream, broadcast, link, mirror, frame, reverse engineer or otherwise exploit any part of the Service except as expressly permitted by Wingman;
      8. cause or launch any programs or scripts for the purpose of scraping, indexing, surveying, or otherwise data mining any portion of the Service or unduly burdening or hindering the operation and/or functionality of any aspect of the Service; or
      9. attempt to gain unauthorised access to or impair any aspect of the Service or its related systems or networks.
    3. We reserve the right to suspend or terminate your Licence if you are found to be in breach of this clause 14.
    4. Wingman warrants and represents to the Member that:
      1. the software used in the development and/or operation of the Service does not infringe on the Intellectual Property Rights of any third party;
      2. it will comply with all applicable laws in relation to the implementation and maintenance of the Service and the licensing of the Service to the Member under these Terms of Service.
    5. Wingman, at its expense, shall defend any action, suit or proceeding brought against the Member which alleges that the Member and/or any component thereof infringes any third party’s Intellectual Property Rights anywhere in the world and Wingman shall pay the full amount of any and all damages, costs and expenses incurred by and/or finally awarded against the Member and related costs (including reasonable attorney’s fees); provided that the Member promptly notifies Wingman of the action and gives Wingman the opportunity, sole authority, information and assistance (at Wingman’s expense) for control of the defence and settlement of the action
  15. Indemnity
    1. The Member is liable for and indemnifies and keeps indemnified Wingman against all actual and direct claims, demands, losses or damages arising out of problems or technical malfunction of any computer online systems, servers or providers, computer equipment, software, failure of any email due to technical problems or traffic congestion on the internet, including any damage to any person's mobile device or computer related to or resulting from the Member’s use of the Service; 
    2. This indemnity extends to all claims, demands, proceedings, costs, charges, expenses of every kind in respect of or having relation to any such actual and direct loss, damage, death or injury.
    3. This clause will survive termination of these Terms of Service.
  16. Acknowledgment & Disclaimer
    1. You acknowledge and agree that:
      1. Wingman is not providing any financial, legal, tax or credit services or advice for the purposes of financial services regulations and standards that may apply from time to time;
      2. the Service is provided on an “as is” and “as available” basis;
      3. Wingman makes no representation, warranty or guarantee:
        1. that the Service is free from errors, bugs or other software issues;
        2. that insights or outcomes provided by Wingman are accurate, complete, suitable, or fit for any particular purpose; or
        3. regarding the compatibility of the App with any other technology.
      4. you will seek independent financial advice before making any decisions based on information provided in the App.
      5. Wingman and its employees, contractors and agents will not be liable for any loss or damage arising out of any use of the Service by you and you hereby release Wingman to the fullest extent from any such liability, loss, damage or claim including, but not limited to, any breach or contravention of any applicable law unless such damage or loss is as a result of the negligent conduct or wilful misconduct of Wingman.
    2. To the extent permitted by law, no express or implied warranty, term, condition or undertaking is given or assumed by Wingman, including any implied warranty of fitness for a particular purpose, except as otherwise prescribed by clause 14.4.
    3. Nothing in these Terms of Service excludes, restricts or modifies any right or remedy implied or imposed by legislation which cannot lawfully be excluded or limited, including but not limited to the Australian Consumer Law.
  17. Intellectual Property
    1. All content, branding, software, Moral Rights and Intellectual Property Rights in the Service is owned by or licensed to Wingman. 
    2. To avoid any doubt, you do not acquire any ownership, Intellectual Property Rights or Moral Rights in respect of the Service upon entry into these Terms of Service or upon being granted a Licence. 
    3. All Intellectual Property Rights owned by a party at any time shall remain the exclusive property of that party.
    4. This clause will survive termination of these Terms of Service.
  18. Confidential Information
    1. The Parties will at all times during and after the expiry of the Term hold any Confidential Information secure and in confidence, except to the extent that any disclosure is:
      1. made to a legal or financial advisor for the purpose of obtaining confidential advice;
      2. required by law; or,
      3. was approved in writing by the other Party. 
    2. Each Party will ensure that its employees, contractors and agents will not disclose any Confidential Information in accordance with these Terms of Service.
    3. This clause will survive termination of these Terms of Service.
  19. Data Use & Privacy
    1. You consent to us collecting and using your personal information in accordance with our Privacy Policy, including:
      1. permitting us to access personal information about you from third parties (including but not limited to payment processors, credit agencies and government agencies who deal in identification  verification);
      2. permitting us in sending marketing campaigns and other electronic communications to you, if you directly request us to do so; and
      3. permitting the disclosure of your personal information to our Third Party Providers and related entities.
    2. The Privacy Policy forms part of these Terms of Service and is available on the Website, App, or on request from us.
  20. Termination
    1. You may terminate your Licence at any time by providing not less than 4 weeks’ written notice to Wingman through the App.  If you terminate your Licence during a billing cycle, you shall retain access to the Service until the last day of that billing cycle following which your access will cease.   
    2. We reserve the right to suspend or terminate your Licence in any of the following circumstances:
      1. where necessary to comply with any relevant law; or
      2. where there has been a breach of the Terms of Service.
  21. Consequences of Termination
    1. Upon termination of these Terms of Service under clause 20:
      1. you must immediately pay all moneys or Fees owing to Wingman up to the date of termination;
      2. the License granted under clause 6 ends; and,
      3. your personal information will be handled in accordance with our Privacy Policy.
  22. Service Changes & Availability
    1. We may:
      1. modify, improve, or discontinue any part of the Service at any time; and
      2. temporarily suspend access to the Service for maintenance or technical issues.
    2. We are not liable for any loss resulting from service interruptions or unavailability.
  23. Assignment / Sublicensing
    1. You are not entitled to assign the Licence or sub-license the Licence.
  24. Waiver
    1. Any delay or failure to enforce any term of the Terms of Service by either Party will not be deemed to be a waiver of any term of the Terms of Service. Any waiver by either Party of a term of the Terms of Service must be in writing and will not be deemed to be a waiver of subsequent breaches of the same or of a different kind.
  25. Severance
    1. In the event that any provision or portion of any provision of the Terms of Service is held to be unenforceable or invalid by a court of competent jurisdiction, the validity and enforceability of the remaining provisions or portions of such provisions of the Terms of Service will not be adversely affected thereby. 
    2. The offending provision or part thereof will be read down to the extent necessary to give it legal effect, or will be severed if it cannot be read down, and the remaining part and provisions of the Terms of Service will remain in full force and effect.
  26. Notices
    1. Any notices required to be given under these Terms of Service must be given by email to hello@wingmanmoney.com
    2. Unless a later time is specified in it, a communication takes effect from the time it is taken to be received.
    3. A communication delivered by email is taken to be received on the day showing on the computer from which the email was sent which indicated that the email was sent in its entirety to the email address of the recipient notified for the purpose of this clause but if the time of transmission is after 5:00pm on a Business Day the email is to be taken to be received on the following day.
  27. Relationship between the parties
    1. The Parties acknowledge that they are independent proprietors and no relationship of partnership, agency, joint venture or employment is expressly intended or to be implied into these Terms of Service. Neither Party has the power to obligate or bind the other Party other than specified in these Terms of Service
  28. Entire Agreement
    1. These Terms of Service constitute the whole agreement between the Parties to the exclusion of any and all other agreements, representations or warranties. No amendment to this Agreement shall be binding unless in writing signed by the Parties.
  29. Governing Law and Jurisdiction
    1. These Terms of Service will be governed by and construed in accordance with the laws of the state of Queensland, and the parties hereby submit to the jurisdiction of Queensland courts in connection with the determination of any matters concerning or arising from the Terms of Service.
  30. Force Majeure
    1. Each Party hereby releases the other from any claim liability or responsibility pursuant to these Terms of Service concerning the other Party’s failure to perform any obligation where such failure is due to pandemic, strike, lockout, riot, industrial action, fire, storm, tempest, act of God, material shortage, government law or regulation or requirement or any other cause beyond the control of the other Party and no such failure shall entitle a Party to terminate the Terms of Service.
  31. No reliance on warranties and representations
    1. In entering into these Terms of Service, each Party:
      1. has not relied on any warranty or representation (whether oral or written) in relation to the subject matter of these Terms of Service made by any person; and
      2. has relied entirely on its own enquiries in relation to the subject matter of these Terms of Service.
    2. This clause does not apply to warranties and representations that these Terms of Service expressly set out.
  32. Changes to these Terms of Service
    1. We may update these Terms of Service from time to time. If changes are material, we will notify you through the App or via Email. The most up to date version of the Terms of Service can be accessed via our Website, App or may be requested by Email. By continuing to use the Service after an update, you agree to the revised Terms of Service.
